These Terms of Use (“Terms”) govern your use of the grant finding platform provided by GovFunds (“Company” or “we” or “us”) through the Site. By accessing or using the Site, you acknowledge that you have read and understood these Terms and agree to be bound by them.

Use of the Site. You may use the Site solely for your personal or internal business purposes in connection with the Services offered through the Site. You may not use the Site for any illegal or unauthorized purpose, or in any way that violates these Terms or any applicable law or regulation.

User Representations and Warranties:

By registering for an account or accessing any portion of the Services, you represent and warrant that you are an active member of a municipal government agency or an authorized representative of such an agency. You agree to provide accurate, current, and complete information during the registration process and to update such information to maintain its accuracy. Providing false information or misrepresenting your affiliation with a municipal government may result in the immediate suspension or termination of your account and access to the Services.

Ownership and License. The Site and all content and materials contained therein, including without limitation, the Company name, logo, and all other trademarks, service marks, and logos used on the Site, are owned by Company or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Site solely for your personal or internal business purposes.

User Content. You are solely responsible for any content that you submit to the Site, including without limitation, any personal information. You represent and warrant that you have the right to submit such content and that such content does not infringe the rights of any third party.

Prohibited Conduct. You may not:

1. use the Site in any manner that could damage, disable, overburden, interfere with, or impair the Site or any other user’s use of the Site;
2. use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including without limitation, monitoring or copying any of the content on the Site;
3. use any manual process to monitor or copy any of the content on the Site or for any other unauthorized purpose without our prior written consent;
4. introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
5. attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site or any server, computer, or database connected to the Site;
6. use the Site to transmit, or procure the sending of, any advertising or promotional material, including without limitation, any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; or

We do not warrant that the Site or any content or materials therein will be accurate, complete, or error-free, or that any defects will be corrected.

Limitation of Liability. In no event shall we be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site or any content or materials contained therein, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Indemnification. You agree to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses, including without limitation, reasonable attorneys’ fees and costs, arising out of or in connection with your use of the Site or any content or materials contained therein, or any breach of these Terms, including but not limited to providing false information or misrepresenting your affiliation with a municipal government agency.

Governing Law and Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of Deleware, and any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Deleware.

Changes to these Terms. We may update these Terms from time to time by posting a revised version on the Site. Your continued use of the Site following any such changes constitutes your acceptance of the revised Terms.

Entire Agreement. These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
